Fertilizer Factories Turkish Joint Stock Company (“GÜBRETAŞ”),

Registered in Istanbul Trade Registry with number 953646,

• Its capital is 250,000 TL (Two Hundred and Fifty Thousand Turkish Liras) in total, consisting of 10,000 shares with a nominal value of 25 TL each.
• Nbulkgas Marine Management Ltd. (“Nbulkgas”) with a nominal value of 250,000 TL (Two Hundred and Fifty Thousand Turkish Liras) (constituting 100% of the total capital) will be sold by sealed bidding method.

The conditions for the said Tender are stated below:

1. Those who want to participate in the tender can submit the tender documents consisting of Administrative Specifications, Tender Specifications and their annexes for a fee of 50,000 TL (Fifty thousand Turkish Liras) from the Internal Purchasing Directorate at GÜBRETAŞ's Head Office located at Merdivenköy Mahallesi Bora Sokak Nida Kule Göztepe No:1 K:30 Kadıköy İstanbul on 30.12. They can purchase it by hand until 17.00 in 2019.
2. Those who want to participate in the tender must deposit the specification fee of 50,000 TL (Fifty Thousand Turkish Liras) to GÜBRETAŞ's bank account with IBAN number TR310001001795374621315623 at Ziraat Bank's Kozyatağı Corporate Branch. Bidders are free to participate in the tender or not after receiving the specifications. However, if they do not participate in the tender, they cannot request a refund of the specification fee.
3. Offers can be submitted until 11:00 on 08.01.2020.
4. The tender will be held on 08.01.2020 (Wednesday) at 11.00 at the Head Office of GÜBRETAŞ, located at Merdivenköy Mahallesi Bora Sokak Nida Kule Göztepe No:1 K:12-30-31 Kadıköy Istanbul.
5. The bids submitted will be evaluated and decided by the GÜBRETAŞ Board of Directors within 20 (twenty) days from the tender date at the latest.
6. Since GÜBRETAŞ is not subject to the Public Procurement Law and similar legislation, it will be able to decide freely, partially or completely, whether to make a tender or not, whether to sign a contract with any bidder, whether to sell the shares subject to the tender or to sell them to whomever it wishes, and to renounce the sale whenever it wishes. In this case, bidders cannot claim any rights by citing the expenses they have incurred.
